3. “Exchange Policy” shall have the meaning ascribed to it in the attached policy.
4. “Force Majeure” shall have the meaning ascribed to it in clause 10.
   “Product(s)” shall mean any good and/or service offered for sale on the Website for consideration.
5. “Refund and Return Policy” shall have the meaning ascribed to it in the attached policy.

4.4. Account Termination by User

You may request the permanent deletion of your account by contacting our authorized support representatives, who shall provide guidance on the applicable account termination procedures. Notwithstanding the foregoing, you are hereby required to ensure that all pending or outstanding orders are fully resolved and completed prior to the submission of any account deletion request. Vinayo World reserves the right to defer the processing of such request until all outstanding obligations associated with your account have been duly settled.

All product information is provided on as available" basis and is subject to change without prior notice.

5.2. Pricing

All product prices displayed on the Website are denominated in Indian Rupees (INR) and shall, unless expressly stated otherwise, be inclusive of applicable taxes. Vinayo World reserves the right to alter, revise, or withdraw any prices at its sole discretion and without prior notice. The governing price applicable to any order shall be the price reflected on the Website at the time of the successful completion and confirmation of your purchase. In the event of a pricing discrepancy, Vinayo World reserves the right to cancel or reject any order placed at an incorrect or erroneous price, and shall notify you accordingly.

5.3. Errors and Corrections

In the event of a pricing error, typographical inaccuracy, or any other erroneous information appearing on the Website, Vinayo World expressly reserves the right, at its sole discretion, to cancel, void, or refuse to process any order placed at an incorrect or otherwise erroneous price, notwithstanding the fact that such order may have been confirmed and payment duly received. In such circumstances, a full refund of any amounts paid shall be initiated and processed in accordance with the timelines stipulated under the applicable refund policy.

5.4. Stock Availability

fulfilment. In the event that any ordered item is found to be unavailable or out of stock, Vinayo World shall promptly notify you and provide you with the option to either select a suitable alternative product, place the item on backorder subject to availability, or receive

6) ORDER PLACEMENT, ACCEPTANCE, CANCELLATION, AND REFUSAL:

you and Vinayo World shall only be deemed to have been formed upon the physical dispatch of the ordered product(s) from our warehouse facilities, at which point a shipping notification shall be issued to you via the contact details registered to your account. Vinayo World reserves the right, at its sole discretion, to decline, cancel, or refuse to process any order at any stage prior to such dispatch, without incurring any liability whatsoever, and any amounts paid in connection with such cancelled order shall be refunded in accordance with the applicable refund policy.

6.3. Right to Refuse or Cancel

Vinayo World reserves the right, at its absolute and sole discretion, to refuse, reject, or cancel any order, whether in whole or in part, at any stage of the order process, for reasons including but not limited to the following:

1. Unavailability, discontinuation, or withdrawal of the ordered product(s) from sale Inaccuracies, errors, or omissions in pricing or product information as displayed on the Website
2. Reasonable suspicion of fraudulent, unauthorized, or otherwise unlawful activity in connection with the order

6.4. Customer Cancellations

Upon receipt of a valid cancellation request, Vinayo World shall endeavour to process such request in a timely manner, subject to the order not having been dispatched at the time the request is received. Once an order has been dispatched from our warehouse facilities, cancellation shall no longer be permissible, and you shall be required to initiate a return or refund request in strict accordance with the procedures set forth in the applicable Returns and Refunds Policy. Vinayo World shall bear no obligation to accept cancellation requests submitted after the point of dispatch.

7. PAYMENT TERMS:

 

7.1. Accepted Payment Methods

Vinayo World currently accepts payment through the following authorized modes, which are subject to change at the sole discretion of Vinayo World without prior notice:

1. Credit and debit cards, including but not limited to Visa, Mastercard, RuPay, and other applicable card networks
2. Net Banking facilities offered by recognized and authorized financial institutions
3. Unified Payments Interface (UPI) platforms, including but not limited to Google Pay, PhonePe, Paytm, and other UPI-enabled applications
4. Equated Monthly Installment (EMI) options, subject to eligibility criteria as determined by the respective issuing bank or financial institution
5. Cash on Delivery (COD), where available and applicable, subject to serviceability of the designated delivery pin code and compliance with prescribed order value thresholds.

7.2. Payment Security

All online transactions facilitated through the Website are processed via secure, encrypted payment gateways that comply with applicable industry security standards and protocols. Vinayo World does not store, retain, or maintain records of your complete card details, banking credentials, or any other sensitive financial information on its servers. You hereby acknowledge and agree that Vinayo World shall bear no liability, responsibility, or obligation in respect of any unauthorized, fraudulent, or erroneous transactions arising from your failure to exercise due diligence in safeguarding and maintaining the confidentiality of your payment credentials. It is your sole responsibility to ensure the security of your financial information at all times.

7.3. GST and Other Taxes

All prices displayed on the Website are inclusive of Goods and Services Tax (GST) as mandated under the applicable provisions of Indian taxation law. A valid tax invoice shall be issued and made available to you in respect of every completed transaction conducted
through the Website. Vinayo World reserves the right to revise the tax components reflected in product pricing in accordance with any amendments, notifications, or directives issued by the relevant statutory or regulatory authorities, without prior notice.

 

7.4. Cash on Delivery (COD)

The Cash on Delivery (COD) payment facility is made available on a selective basis and shall only be applicable to certain products and designated delivery locations, as determined by Vinayo World at its sole discretion. An additional COD handling charge may be levied in connection with orders placed under this payment mode, the quantum of which shall be disclosed and reflected at the time of checkout prior to the finalization of your order. You are advised to review all applicable charges before confirming your order.
Vinayo World expressly reserves the right, at its absolute discretion and without any obligation to provide prior notice, to withdraw, suspend, restrict, or otherwise modify the availability of the COD facility, whether in relation to specific products, locations, order values, or otherwise. The continued availability of the COD option shall not be construed as a contractual right or entitlement on your part, and Vinayo World shall bear no liability for any inconvenience arising from the withdrawal or restriction of such facility.

7.5. Payment Failure

In the event that a payment transaction is declined, rejected, or otherwise unsuccessful following the placement of an order, such order shall not be processed or fulfilled, and no binding obligation on the part of Vinayo World to fulfil such order shall arise. You shall be duly notified of the payment failure through the contact details registered to your account and shall be afforded a reasonable opportunity to reattempt or rectify the payment through an alternative mode or method, subject to the continued availability of the ordered product(s).

Vinayo World expressly disclaims any and all liability in respect of any bank charges processing fees, interest, penalties, or any other financial impositions levied by your bank, financial institution, or payment service provider in connection with a failed, declined, or reversed payment transaction. It shall be your sole responsibility to liaise with your respective bank or financial institution to resolve any payment-related disputes or discrepancies. Vinayo World shall bear no obligation to compensate you for any loss, inconvenience, or damage arising directly or indirectly from a payment failure, irrespective of the cause thereof.

8. SHIPPING AND DELIVERY TERMS:

 

8.1. Delivery Areas

Vinayo World currently provides delivery services across all serviceable pin codes within the territorial limits of India. The availability of delivery services to any particular location is subject to periodic revision and may be modified, restricted, or withdrawn at the sole discretion of Vinayo World based on prevailing operational requirements, logistical feasibility, and other relevant considerations, without prior notice. It shall be your responsibility to verify the serviceability of your designated delivery location at the time of placing your order.

8.2. Estimated Delivery Timelines

Estimated delivery timelines communicated to you at the time of checkout are indicative in nature and shall not be construed as a contractual guarantee of delivery within the stated period. Actual delivery timelines may deviate from the estimates provided due to factors including but not limited to logistical delays, public holidays, adverse or inclement weather conditions, force majeure events, or other unforeseen circumstances beyond the reasonable control of Vinayo World. Vinayo World shall not be held liable for any delays in delivery attributable to third-party logistics partners or courier service providers engaged for the fulfilment of your order. Notwithstanding the foregoing, Vinayo World remains committed to monitoring and maintaining visibility over the last-mile delivery of your order and shall endeavour to keep you duly informed of any material delays or disruptions in the delivery process through the contact details registered to your account.

8.3. Shipping Charges

All applicable shipping charges, if any, shall be explicitly disclosed and reflected at the time of checkout, prior to the finalization and confirmation of your order. Such shipping charges, once paid, shall be non-refundable, except in circumstances where the return of the product or the failure of delivery is solely and directly attributable to an error, omission, or negligence on the part of Vinayo World. In all other circumstances, shipping charges shall be deemed non-refundable and shall not be subject to any claim for reimbursement or reversal.

8.4. Risk of Loss

Title, ownership, and all associated risk of loss or damage in respect of the ordered product(s) shall pass to you upon successful delivery of the product(s) to the delivery address designated by you at the time of placing your order. Vinayo World shall bear no liability for any loss, damage, or deterioration of the product(s) occurring after the point of successful delivery.

In the event that delivery cannot be affected due to the provision of an incorrect, incomplete, or undeliverable address by you, or by reason of your unavailability or failure to accept delivery at the designated address, Vinayo World reserves the right to levy applicable re-delivery charges in connection with any subsequent delivery attempt. Such re-delivery charges shall be borne solely by you, and Vinayo World shall bear no liability for any inconvenience, loss, or damage arising from a failed or delayed delivery resulting from circumstances attributable to you.

8.5. Delivery Confirmation

Customers are required to inspect the product and its outer packaging at the time of delivery, before accepting the order. Any visible damage, tampering, missing items, or discrepancy must be immediately brought to the notice of the delivery personnel and reported to the Company. In case the package appears damaged or tampered with, the Customer is advised to refuse delivery and promptly inform the Company’s customer support team, providing relevant details such as the order number, description of the issue, and supporting images or videos, where possible. If the Customer accepts the delivery without reporting any visible issues at the time of delivery, it shall be presumed that the product was delivered in proper condition. Failure to report such issues within a reasonable time may result in rejection of subsequent claims. The Company shall not be liable for any damage, loss, or discrepancy that is not reported in accordance with the above requirements.

 

9. RETURNS, REFUNDS, AND REPLACEMENTS:

All returns, refunds, and replacements shall be governed by the Refund and Return Policy of Vinayo World, which is incorporated herein by reference. Users are advised to review the Policy available on the Website prior to placing any order.

Returns or replacements shall be considered only in cases where:

1. The product is delivered in a damaged or defective condition;
2. The product materially differs from its description or specifications on the Website; or
3. The product is eligible under a valid manufacturer’s warranty.
   

All requests must be raised within the prescribed return period from the date of delivery and the product must be returned in its original condition, along with complete packaging and accessories. Refunds, if approved, shall be processed to the original mode of payment within the timelines specified in the Refund and Return Policy.

10. FORCE MAJEURE:

The Company shall bear no liability for any failure and/or delay in the performance of its obligations under this Agreement, nor for any loss, damage, costs, charges, or expenses incurred and/or suffered by the User as a consequence thereof, where such failure and/or delay is directly or indirectly attributable to a Force Majeure Event as specified herein.

Explanation: “Force Majeure Event” shall mean and refer to any event or circumstance arising from causes beyond the reasonable control of the Company, including but not limited to, unavailability or failure of any communication system, sabotage, fire, flood, earthquake, explosion, acts of God, civil commotion, strikes, lockouts, and/or industrial action of any nature, breakdown of transportation infrastructure, riots, insurrection, hostilities whether or not war has been formally declared, acts of government or governmental orders or restrictions, breakdown and/or unauthorised hacking of the Website and/or any content provided for the purposes of availing the Products and/or services offered through the Website such that the performance of obligations under this Agreement becomes impossible or impracticable or any other cause or circumstance beyond the reasonable control of the Company that prevents the timely discharge of its obligations hereunder.

11. WARRANTY DISCLAIMER:

All products, services, content, and materials available on the Website are provided on an “as is” and “as available” basis, without any warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly provided by the respective manufacturer.

The Company does not warrant that:

2. The Website or services will be uninterrupted, secure, or free from errors or viruses; or

12. GOVERNING LAW AND JURISDICTION:

This Agreement shall be construed, interpreted, and governed in accordance with the laws of the Republic of India. In the event of any dispute, difference, or claim arising out of or in connection with the interpretation of any provision of this Agreement or the performance/fulfilment of obligations hereunder, the Parties shall first attempt to resolve the same amicably through mutual discussions. If the Parties fail to arrive at an amicable settlement, the dispute shall be referred to arbitration. The arbitration shall be conducted by a sole arbitrator to be mutually appointed by the Parties. The arbitration
proceedings shall be governed by the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be Noida (Gautam Budh Nagar), Uttar Pradesh, and the proceedings shall be conducted in English. The arbitral award shall be final and binding on the Parties. The Parties agree that the costs and expenses of arbitration shall be borne equally, unless otherwise directed by the arbitrator.
